Capabase is operated by [LEGAL ENTITY NAME] ("Capabase," "we," "us," or "our"). These Terms of Use govern your access to capabase.ai and any related Capabase services, accounts, listings, downloads, creator tools, checkout flows, and support channels.
These Terms include the rules for buyers, creators, marketplace listings, payments, payouts, refunds, chargebacks, content, intellectual property, moderation, and disputes. By using Capabase, creating an account, buying a skill, submitting a skill, or accepting creator onboarding, you agree to these Terms.
If you use Capabase for a company or other organization, you represent that you have authority to bind that organization.
1. What Capabase Is
Capabase is a curated marketplace for AI agent skills, workflow packs, install materials, and related digital products. Capabase provides marketplace infrastructure, review workflows, checkout, entitlement delivery, and account tools.
Unless a checkout page or written agreement says otherwise, creators are the sellers of record for the skills and packs they list. Capabase is not the author, employer, agent, joint venturer, or legal representative of creators. Capabase may review, approve, reject, rank, promote, delist, suspend, or remove listings, but review does not make Capabase responsible for a creator's promises, support duties, rights, taxes, or legal compliance.
2. Eligibility
You must be at least 18 years old, able to form a binding contract, and legally allowed to use Capabase. You may not use Capabase if you are barred under applicable law, sanctions rules, export controls, or Capabase policy.
Creators must complete any required Capabase onboarding and Stripe connected-account onboarding before selling paid listings. Stripe verification is not Capabase approval. Capabase decides who may sell on the marketplace.
3. Accounts
You are responsible for your account, credentials, activity, listings, purchases, downloads, and communications. Keep your account information accurate and secure. Tell us promptly if you believe your account has been compromised.
We may suspend, restrict, or close accounts that violate these Terms, create legal or security risk, cause payment risk, abuse support, attempt to evade enforcement, or harm the marketplace.
4. Buyer Terms
When you buy a skill or pack, you are buying access to digital content under the license stated in these Terms and any additional listing-specific terms. You are not buying ownership of the underlying intellectual property unless the listing clearly says so and the creator has the right to grant that ownership.
Unless a listing says otherwise, a purchase gives you a personal, non-exclusive, non-transferable, revocable license to download, install, and use the purchased skill for your own individual or internal business workflows.
Capabase may set download limits, access windows, rate limits, entitlement checks, fraud controls, and compatibility requirements. We may revoke or limit access after refunds, chargebacks, fraud, account abuse, policy violations, or legal requests.
- Do not resell, redistribute, sublicense, publicly post, or share paid skills with unrelated third parties.
- Do not strip attribution or use a skill to build a substantially similar product for resale.
- Do not use Capabase content for illegal, unsafe, infringing, deceptive, or harmful activity.
5. Digital Goods, Refunds, And Cancellation Rights
Skills and packs are digital goods. Except where mandatory law requires otherwise, all sales are final once download, access, or delivery begins.
Capabase may approve a refund if you paid but never received access, the product is materially different from the listing, the file is broken and cannot be replaced within a reasonable time, the transaction appears fraudulent, or Capabase decides a refund is appropriate.
Capabase may deny a refund if you downloaded or accessed the product and changed your mind, the issue is caused by your environment or unsupported tooling, you expected results not expressly guaranteed in the listing, you violated these Terms, or the request is abusive, late, duplicative, or tied to chargeback misuse.
For EU, UK, and other consumers with statutory digital-content rights, nothing in these Terms limits non-waivable consumer rights.
6. Creator Terms
If you submit, list, sell, or maintain a skill on Capabase, you are a creator under these Terms.
Capabase may reject or delist any creator, listing, version, file, claim, price, category, or marketing material at any time. Capabase may require fixes before listing, pause sales during review, or remove listings without prior notice where risk is urgent.
- You must own or have all rights needed to submit, list, sell, license, update, and support your content.
- Your listing must be accurate and not misleading.
- Your skill must not contain malware, credential theft, hidden tracking, secret exfiltration, unlawful automation, unauthorized scraping, or undisclosed destructive behavior.
- Your content must not infringe intellectual property, privacy, publicity, contract, confidentiality, employment, export, sanctions, or other rights.
- You must provide reasonable support for defects, compatibility issues, and buyer questions tied to your listing.
- You must keep your tax, payment, identity, and contact information accurate.
7. Creator Economics, Payouts, And Deductions
Unless Capabase agrees otherwise in writing, creators keep 85% and Capabase keeps 15% of the product sale price excluding taxes. Capabase's 15% platform fee is intended to cover standard Stripe/payment processing fees. Taxes are not revenue for either side.
Creator earnings may be reduced by refunds, chargebacks, dispute fees, fraud losses, negative balances, currency conversion, tax withholding, platform adjustments, policy violations, or other amounts tied to the creator's listing, account, or transaction.
Stripe may control payout timing, payout method, account requirements, reserves, and compliance checks for connected accounts. Capabase may also delay, reserve, hold, offset, reverse, or withhold creator payouts where needed for refunds, disputes, fraud, legal requests, tax reporting, security review, policy review, or suspected breach.
Capabase may set minimum payout thresholds, reserve windows for new or high-risk creators, and different payout rules for custom deals. We may deduct amounts from future earnings if a balance becomes negative.
8. Taxes, Receipts, And Seller Records
Unless a checkout page or written agreement says otherwise, creators are responsible for taxes, filings, registrations, invoices, exemptions, and reports connected to their seller earnings and listings. Capabase is responsible for taxes on Capabase's own platform-fee revenue.
Capabase may calculate, collect, report, or remit taxes where required by law, marketplace rules, payment processor requirements, or platform configuration. Tax collected from buyers is not creator revenue or Capabase platform-fee revenue.
Receipts, invoices, checkout pages, tax IDs, seller names, addresses, and payment descriptors may be generated by Stripe or Capabase based on the configured payment flow. Creators authorize Capabase and Stripe to include creator information where needed for receipts, invoices, tax, compliance, or buyer support.
9. Chargebacks And Disputes
If a buyer files a chargeback, payment dispute, reversal, or fraud claim, Capabase may respond, concede, contest, refund, suspend access, request creator evidence, or deduct related amounts from creator earnings.
Chargeback reversals, dispute fees, fraud losses, and negative balances tied to a creator's listing or conduct may be allocated to that creator, unless Capabase caused the issue through platform error.
10. Intellectual Property
Creators keep ownership of content they submit, subject to the licenses granted here. Buyers receive only the license described in these Terms and the listing.
Creators grant Capabase a worldwide, non-exclusive, royalty-free license to host, store, scan, test, package, display, market, promote, distribute, sell, provide access to, reproduce, modify for technical formatting, and create excerpts or previews of submitted content for operating and marketing Capabase.
Creators also grant Capabase the right to use creator names, profile information, listing names, screenshots, descriptions, ratings, and sales metadata to operate, promote, moderate, and improve the marketplace.
Capabase owns the Capabase service, brand, design, software, marketplace data structures, review systems, and platform content, excluding creator content and third-party materials.
11. Copyright And Takedowns
Send copyright notices to copyright@capabase.ai. Include your contact information, the copyrighted work, the allegedly infringing material, the URL or listing, a good-faith statement, a statement under penalty of perjury that the notice is accurate, and your physical or electronic signature.
Capabase may remove or disable content, notify the creator, process counter-notices where applicable, and terminate repeat infringers. If Capabase registers a DMCA designated agent, that registration will control the formal notice process for US DMCA notices.
12. Prohibited Content And Conduct
- Malware, credential theft, token theft, hidden exfiltration, backdoors, destructive scripts, or unsafe automation.
- Content that enables fraud, spam, harassment, scraping in violation of law or contracts, account abuse, phishing, bypassing access controls, or unauthorized surveillance.
- Plagiarized, infringing, confidential, stolen, or misrepresented work.
- Regulated professional advice presented as a substitute for a qualified professional, including legal, medical, financial, tax, safety, or mental health advice.
- Illegal content, hate, exploitation, sexual content involving minors, or content that violates sanctions/export controls.
- False claims about results, earnings, rankings, compliance, security review, platform approval, or creator credentials.
13. Review, Trust, And Security Disclaimer
Capabase may review skills for provenance, suspicious tool use, hardcoded secrets, malware indicators, listing accuracy, and other quality or security signals. Review is limited and may include automated and manual checks.
Reviewed, trusted, approved, curated, or similar language means the listing passed Capabase's marketplace review at a point in time. It does not mean the skill is error-free, secure in every environment, suitable for every use, compliant with every law, or guaranteed to produce a result.
You are responsible for reviewing code, instructions, permissions, tool calls, and outputs before using a skill in production, with sensitive data, or in regulated workflows.
14. Support
For marketplace, account, payment, access, or entitlement issues, contact support@capabase.ai. For product-specific defects, install issues, or listing questions, creators are primarily responsible for supporting their products.
Capabase may step in, request a creator response, issue a refund, delist a product, or suspend a creator if support is poor, misleading, or unavailable.
15. Future Features
If Capabase launches subscriptions, team registries, affiliate/referral programs, API access, hosted skill access, private registries, or custom services, additional terms may apply. Capabase may require separate acceptance before those features are used.
16. Third-Party Services
Capabase may rely on Stripe, hosting providers, analytics tools, email providers, storage providers, identity tools, and other third-party services. Third-party services are governed by their own terms and privacy notices. Capabase is not responsible for third-party services outside our control.
17. Disclaimers
Capabase and all listings are provided as is and as available. To the maximum extent allowed by law, Capabase disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, compatibility, and uninterrupted operation.
Capabase does not guarantee revenue, rankings, traffic, conversion, app approval, compliance, safety, security, professional outcomes, or business results.
18. Liability Limits
To the maximum extent allowed by law, Capabase will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, security incidents, business interruption, reputational harm, or substitute services.
To the maximum extent allowed by law, Capabase's total liability for any claim is limited to the greater of USD $100 or the amount you paid to Capabase, excluding creator earnings and taxes, in the 3 months before the event giving rise to the claim.
These limits apply even if a remedy fails its essential purpose. Nothing in these Terms limits liability that cannot legally be limited.
19. Indemnity
You will defend, indemnify, and hold harmless Capabase from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your listings, content, purchases, use of Capabase, breach of these Terms, violation of law, infringement, tax obligations, support failures, disputes with buyers or creators, or misuse of a skill.
20. Governing Law And Disputes
These Terms are governed by [GOVERNING LAW], without regard to conflict-of-law rules. Disputes will be handled in [COURTS / ARBITRATION VENUE], unless mandatory consumer law requires another forum.
For US users, Capabase may add binding arbitration, class action waiver, and jury trial waiver language before launch. If added, those terms should include any legally required opt-out process.
21. Changes
Capabase may update these Terms. If changes are material, we will take reasonable steps to notify users or require renewed acceptance. Continued use after the effective date means you accept the updated Terms.
